4. Pricing & Payment

8. Intellectual Property

9. Deliverability Guarantee

Get Email Database guarantees the accuracy and deliverability of our email databases:

• 95%+ Deliverability: We guarantee that 95% or more of email addresses in our databases will successfully deliver (not bounce) when used for single-send campaigns with proper email authentication
• Accuracy Standard: This guarantee applies to the technical deliverability of email addresses and assumes proper sender authentication, compliance with email standards, and single sends (not repeated sends to same addresses)
• Limitation: This guarantee does not cover inbox placement, spam filtering, recipient engagement, or other factors beyond email deliverability
• Replacement Process: For deliverability issues below 95%, we will provide replacement email addresses at no additional cost upon proof of delivery failures
• Refund Option: If you are unsatisfied with database quality despite our replacements, you may request a full refund within 30 days of purchase per our Refund Policy
• Documentation Required: To claim replacement guarantees, you must provide documented evidence of bounce rates and proper authentication configuration

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Indirect Damages: Get Email Database is not liable for indirect, incidental, consequential, special, or punitive damages arising from use of our services, even if advised of the possibility of such damages

• Third-Party Use: We are not responsible for misuse of databases by your team members, contractors, or third parties you authorize

11. Indemnification

You agree to indemnify, defend, and hold harmless Get Email Database and its owners, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms of Service or any law
• Your use of the email databases in violation of CAN-SPAM, GDPR, CASL, or other regulations
• Spam complaints, abuse claims, or legal action initiated by recipients of your email campaigns
• Your unauthorized resale, redistribution, or sharing of purchased databases
• Your infringement of third-party intellectual property rights through use of our data
• Any false or misleading claims made in your email campaigns using our databases

12. Termination

Get Email Database may terminate your account and revoke your service access in the following circumstances:

• Compliance Violations: Violation of these Terms of Service or applicable laws including CAN-SPAM, GDPR, and CASL
• Spam & Abuse: Using our databases to send spam, phishing emails, or malware
• Unauthorized Resale: Reselling or redistributing our databases without authorization
• Payment Issues: Non-payment or disputed charges beyond resolution
• Cease & Desist: If we send a cease and desist letter due to violations
• Termination Effect: Upon termination, your access to databases and account will be revoked, though purchased data remains yours to use if legally acquired
• Surviving Obligations: Indemnification and confidentiality obligations survive termination

13. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the United States, specifically the State of Delaware, without regard to its conflict of law principles. The UN Convention on Contracts for the International Sale of Goods does not apply to this agreement.

14. Dispute Resolution

Any disputes arising from this agreement shall be resolved as follows:

• Good Faith Negotiation: Parties first attempt resolution through good faith negotiation and communication
• Arbitration: If negotiation fails, disputes shall be resolved through final and binding arbitration administered by JAMS or equivalent service
• Class Action Waiver: You agree to arbitration on an individual basis only and waive the right to class action or jury trial
• Arbitration Location: Arbitration shall take place in Delaware or via telephonic/virtual proceedings
• Cost Allocation: Each party bears its own costs unless the arbitrator determines otherwise based on the claim merits

15. Changes to Terms

Your continued use of our services following notification of changes constitutes your acceptance of the modified terms.
